Terms and Conditions
Standard of Services
MuTech will:
● Provide their services honestly, diligently at a professional standard appropriate for an expert in its field.
● Take steps to ensure that only the Client’s personnel and customers who need access to the software have access to the software.
● Comply with all lawful directions given by the Client in respect to support, software development and revisions.
Standard of Expectations
Both parties will:
● Inform the other party as soon as practicable of any unforeseen changes, new developments or other issues which will impact and influence the software system.
● Wherever possible, accommodate each other’s scheduling requirements.
Ownership of Intellectual Property
This proposal outlines the terms of ownership of the intellectual property produced in the course of this project.
The Developer has utilised its experience, ideas, and expertise (Background IP) gained from similar projects in the creation of the project.
The Developer retains the right to reuse these methods, elements, styles, and layouts for future projects, but will not reuse the specific project created for this Client for another client in its entirety without prior written consent.
The Client is granted a non-exclusive transferable licence of the Background IP.
The Client shall retain all rights related to the copy, confidential information, and other materials created by the Client.
The Developer shall have no right to use any such content except as necessary to perform its obligations.
The Client shall not on sell or otherwise distribute the software without the Developer’s prior written consent.
Payment Terms
MuTech will invoice weekly for sprint fees as well as any approved expenses incurred in connection with the Services, and Client will pay invoices within 7 days of receipt.
The deposit for Sprint Zero, shall be due upon execution of the project.
Subscription/Support Rates
If there is no specified or agreed support plan, MuTech will charge hourly rates for any changes, support, or bug fixes after the two-week free bug fixing period has passed.
This project may incur monthly hosting, maintenance and additional expenses.
